Terms of Service

These Terms of Service (“Terms”) govern your access to and use of websites, applications, platforms, products, and services provided by StreamCentral LLC (“StreamCentral,” “we,” “us,” or “our”), including streamcentral.io.

By accessing or using our website or services, you agree to these Terms.

If you are using StreamCentral on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

1. StreamCentral Services

StreamCentral provides cloud-based media technology and related services that may include live streaming, media monitoring and recording, content search and discovery, clipping and editing, artificial intelligence-assisted tools, stream routing and relay, publishing, distribution, analytics, and related functionality.

Certain products, features, usage limits, retention periods, storage allowances, service levels, or functionality may be subject to additional terms, product documentation, order forms, statements of work, or agreements.

2. Business Agreements

Customers purchasing StreamCentral services may enter into an order form, subscription agreement, master services agreement, reseller agreement, statement of work, or other written agreement with StreamCentral.

If there is a conflict between these website Terms and a separately executed agreement governing a paid StreamCentral service, the executed agreement will control with respect to that service.

3. Eligibility

You may use StreamCentral only if you are legally permitted to enter into a binding agreement.

If you use StreamCentral on behalf of an organization, you represent and warrant that you are authorized to act on behalf of that organization.

4. Accounts

Certain StreamCentral services require an account.

You are responsible for:

  • Providing accurate account information
  • Maintaining the confidentiality of login credentials
  • Restricting unauthorized access to your account
  • Maintaining appropriate security practices
  • All activity performed through your account by authorized users

You must notify StreamCentral promptly if you become aware of unauthorized access to or use of your account.

5. Acceptable Use

You agree not to use StreamCentral to:

  • Violate applicable laws or regulations
  • Infringe intellectual property or other rights
  • Distribute malicious software or harmful code
  • Attempt unauthorized access to systems or accounts
  • Circumvent security or access controls
  • Interfere with StreamCentral infrastructure
  • Intentionally overload, disrupt, or damage the service
  • Use the service for fraudulent or deceptive activity
  • Upload or distribute content that you do not have the right to use
  • Reverse engineer StreamCentral software except where expressly permitted by applicable law
  • Resell or sublicense services except where expressly authorized by StreamCentral

StreamCentral may suspend or restrict access when reasonably necessary to protect the platform, other users, third parties, or StreamCentral.

6. Customer Content

You retain ownership of content you or your authorized users provide to StreamCentral (“Customer Content”).

You grant StreamCentral a limited, non-exclusive license to host, process, transmit, reproduce, modify as technically necessary, and otherwise use Customer Content solely as necessary to provide, maintain, secure, and improve the services you have requested.

You represent that you have all rights and permissions necessary to provide Customer Content to StreamCentral and to authorize StreamCentral to process it.

7. Streaming, Recording and Distribution Rights

You are solely responsible for ensuring that you possess all necessary rights, licenses, permissions, releases, and authorizations required to ingest, record, store, clip, edit, transmit, monetize, distribute, publish, or otherwise use content through StreamCentral.

StreamCentral does not obtain ownership of Customer Content merely because it is processed through the service.

8. Third-Party Services

StreamCentral may integrate with third-party services such as social networks, streaming platforms, advertising systems, content distribution services, APIs, and analytics services.

These may include YouTube, Facebook, Instagram, TikTok, X, Google services, and other providers.

Third-party services are governed by their own terms, policies, APIs, availability, and technical requirements.

StreamCentral is not responsible for changes, restrictions, outages, suspension, termination, or actions taken by a third-party service.

9. Artificial Intelligence Features

Certain StreamCentral features may use artificial intelligence, machine learning, transcription, speech recognition, computer vision, automated clipping, content analysis, or related technologies.

AI-generated results may contain errors, omissions, inaccuracies, or unexpected results.

Customers are responsible for reviewing AI-generated outputs before publishing, distributing, or relying on them.

StreamCentral does not guarantee that AI-generated output will be accurate, complete, unique, or suitable for any particular purpose.

10. Intellectual Property

Except for Customer Content and third-party materials, StreamCentral and its licensors retain all rights, title, and interest in the StreamCentral platform, including:

  • Software
  • Source and object code
  • Interfaces
  • Designs
  • Branding
  • Trademarks
  • Logos
  • Documentation
  • Workflows
  • Technology
  • Data models
  • Platform architecture

No rights are granted except those expressly stated in these Terms or another written agreement.

11. Feedback

If you provide StreamCentral with suggestions, ideas, feature requests, or other feedback, you grant StreamCentral the right to use that feedback without restriction or obligation to you.

12. Availability and Changes

We may modify, improve, update, replace, suspend, or discontinue portions of the StreamCentral website or services.

We do not guarantee that every feature will be available at all times or that third-party integrations will remain available indefinitely.

Paid service commitments, if any, will be governed by the applicable customer agreement or service-level agreement.

13. Fees and Payment

Fees for paid StreamCentral products are governed by the applicable proposal, subscription, order form, invoice, reseller agreement, statement of work, or other commercial agreement.

Unless otherwise stated in a written agreement, customers are responsible for applicable taxes associated with their purchase.

14. Confidentiality

Certain information exchanged between StreamCentral and its customers may be confidential.

Confidentiality obligations may be governed by a separate nondisclosure agreement, service agreement, or other written agreement between the parties.

15. Privacy

Your use of StreamCentral is also subject to our Privacy Policy.

The Privacy Policy explains how StreamCentral collects, uses, and protects personal information.

16. Security

You agree not to attempt to test, probe, scan, penetrate, or circumvent StreamCentral security measures without prior written authorization.

StreamCentral may take reasonable actions necessary to protect its systems, customers, infrastructure, and services.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE STREAMCENTRAL WEBSITE AND ANY SERVICES PROVIDED WITHOUT A SEPARATE WRITTEN WARRANTY ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

STREAMCENTRAL DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

STREAMCENTRAL DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STREAMCENTRAL LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL ARISING FROM OR RELATED TO USE OF THE WEBSITE OR SERVICES.

FOR PAID SERVICES, ANY ADDITIONAL LIABILITY LIMITATIONS CONTAINED IN AN APPLICABLE CUSTOMER AGREEMENT, ORDER FORM, OR MASTER SERVICES AGREEMENT WILL CONTROL.

Some jurisdictions do not permit certain limitations of liability, so some limitations may not apply.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless StreamCentral LLC and its affiliates, officers, members, managers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • Your misuse of the services
  • Your Customer Content
  • Your violation of these Terms
  • Your violation of applicable law
  • Your infringement of a third party’s rights

Any different indemnification obligations contained in a separate written agreement between StreamCentral and a customer will control.

20. Suspension and Termination

StreamCentral may suspend or terminate access to services where reasonably necessary because of:

  • Violation of these Terms
  • Security threats
  • Fraud or abuse
  • Nonpayment
  • Legal requirements
  • Material risk to StreamCentral or another user

Terms that by their nature should survive termination will continue to apply.

21. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

22. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes that qualify for small claims court or claims seeking injunctive or equitable relief relating to intellectual property, unauthorized access, or misuse of the services, the parties agree to attempt in good faith to resolve disputes informally before commencing formal proceedings.

If a dispute cannot be resolved informally, the dispute will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under the applicable AAA rules.

AAA maintains separate rules and procedures for consumer and commercial arbitration.

Unless otherwise agreed or required by applicable rules, arbitration will take place in Miami-Dade County, Florida, or remotely where permitted.

The arbitrator will have authority to award relief available under applicable law.

23. Class Action and Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY FOR DISPUTES SUBJECT TO THESE TERMS.

If any portion of this provision is determined to be unenforceable, it will be enforced to the maximum extent permitted by law.

I would specifically have counsel approve Sections 22–23 before publishing them. AAA currently maintains compliance requirements applicable to consumer arbitration provisions, so this is not a section I would treat as boilerplate without review.

24. Venue for Non-Arbitrable Disputes

For disputes that are not subject to arbitration, the parties consent to the exclusive jurisdiction of the appropriate state or federal courts located in Miami-Dade County, Florida, unless applicable law requires otherwise.

25. Changes to These Terms

StreamCentral may update these Terms periodically.

The “Last Updated” date at the top of this page will indicate when the Terms were most recently revised.

Continued use of the website or services following the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

26. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

27. Entire Agreement

These Terms, together with the Privacy Policy and any applicable additional agreement, constitute the agreement governing use of the StreamCentral website and services within their respective scope.

A separately executed customer agreement will control in the event of a conflict concerning paid services.
